Core Freedom™ Affiliate Program Agreement

FOREWORD

Thank you for your consideration to becoming an affiliate with Core Freedom™. Our affiliates are very important to us and we look forward to building a long-lasting affiliate partnership with you that is based on respect, fairness and built upon the desire to help each other succeed.

When you become an affiliate of Core Freedom™ you become a representative of all that we stand for. It is important to me to work with affiliates that share our vision to spread kindness everywhere. Our program grants you access to our marketing materials, which you are encouraged to share generously. Therefore, we manually review every affiliate application to make sure we are a good fit. If approved, you will receive an email from me. If you do not hear from me within 30 days your application was not approved. If this is the case, please don’t take it personally. It may just be that something in your application is missing, maybe you don’t have a website or the means to promote our products, or a number of other reasons. If this is the case, try again or contact us for more information.

There are some rules to follow in order to become an affiliate and to remain in good standing with our affiliate program. This agreement lays out these rules and is a necessary formality.

Core Freedom™ Affiliate Program Agreement

This is a contract between you (the “Affiliate”) and us (“CoreFreedom™”), the Promoter. It describes how we will work together and other aspects of our business relationship. 
This Affiliate Program Agreement applies to your participation in our Affiliate Program (the “Affiliate Program”).  

We periodically update these terms. We might also choose to replace these terms in their entirety if, for example, the Affiliate Program changes, ends, or becomes part of an existing program, including our partner programs. If we update or replace the terms, we will let you know via electronic means, which may include an in-app notification or by email. If you don’t agree to the update or replacement, you can choose to terminate this agreement as described below.

BY SUBMITTING OUR ONLINE APPLICATION, YOU AGREE THAT YOU HAVE READ AND UNDERSTAND THE TERMS AND CONDITIONS OF THIS AGREEMENT AND THAT YOU AGREE TO BE LEGALLY RESPONSIBLE FOR EACH AND EVERY TERM AND CONDITION. 

AFFILIATE ACCEPTANCE

Once you complete an application to become an Affiliate, we will review your application and notify you whether you have been accepted to participate in the Affiliate Program, or not. If we do not notify you that you are accepted to participate in the Affiliate Program within thirty (30) days from your application, your application is considered to be rejected. If you feel that our decision was an error, you may contact us at http://CoreFreedom™/contact to give us additional information for our reconsideration. 

If you are accepted to participate in the Affiliate Program, then upon notification of acceptance, the terms and conditions of this Agreement shall apply in full force and effect, until terminated, pursuant to the terms set forth in this document. 

1.	OVERVIEW

This Agreement contains the complete terms and conditions that apply to you becoming an affiliate in CoreFreedom™'s Affiliate Program. The purpose of this Agreement is to allow HTML linking between your website and the CoreFreedom™ website. Please note that throughout this Agreement, "we," "us," and "our" refer to CoreFreedom™, and "you," "your," and "yours" refer to the affiliate.

2.	NON-EXCLUSIVITY

This Agreement does not create an exclusive agreement between you and us. Both you and we have the right to recommend similar products and services of third parties and to work with other parties in connection with our products and use of similar services and products of third parties.

3.	RELATIONSHIP OF PARTIES

Nothing in this Agreement shall be deemed to create a partnership, joint venture, agency relationship, or employment relationship between the Parties. Affiliate is participating in the Promotion as a fully independent entity and is responsible for any and all federal, state, local, and/or foreign income taxes and self-employment taxes, and any and all other federal, state, and local licensees, fees or taxes, or sales tax, including withholding taxes, social security taxes, and public liability and workman’s compensation insurance. Under no circumstances will Promoter be held liable for any actions or results of the Affiliate.

4.	ELIGIBILITY

4.1 Affiliate must be 18 years or older to participate in our program. Promoter reserves the unconditional right to accept or deny any Affiliate who enters the Promotion on the Promoter’s website at http://corefreedom./affiliates (the “Enrollment Site”) or who drives traffic to any of the Promoter’s marketing websites (the “Sites”).

4.2 Affiliate agrees and understands that if its marketing, websites, emails or any other communications associated with or for this Promotion are deemed inappropriate, the Affiliate will be deemed, at the sole discretion of the Promoter, ineligible to participate in the Promotions and disqualified from receiving any recognition, commissions, prizes or any other compensation or further communication from the Promoter.

4.3 Affiliate will be immediately removed from all Promotions and from Promoter’s Affiliate Program — resulting in a forfeiture in all commissions — and will be in violation of this Agreement if its marketing for this Promotion or for its own sites:

a)	contains, promotes or links to sexually explicit or violent material;
b)	promotes, depicts or links to material that promotes or depicts discrimination based on race, gender, religion, national origin, physical or mental disability, sexual orientation, or age;
c)	contains unlawful material, including but not limited to materials that may violate another’s intellectual property rights, or links to a site that contains such material;
d)	contains information regarding, promotes or links to a site that provides information or promotes illegal activity; or
e)	uses Promoter’s videos, images, banners, likeness, or brand name in or on their websites, thus creating market and consumer confusion (which is illegal and generally referred to as copyright or trademark infringement). For clarification, you may not use our banners, images, videos, or links, unless specifically supplied to you, as if they are your own on your own sites or any other sites, as it may cause a customer to opt-in, thinking they are opting in to our communications rather than yours. The best practice to generate sales is to establish your own brand, identity, and sites, and then to authentically recommend our program, instead of pretending to be us.
f)	uses any “bots” or automated link generating, spamming, or social media spamming techniques to perpetuate their links automatically or anonymously. You should only participate in this our affiliate program by sending your affiliate links directly to your email list, your social media contacts, or through ads you have placed that comply with all the rules in this agreement.
g)	defames, slanders, or posts rude or inappropriate comments about Promotor or any member of its community. Any rude or inappropriate communication with Promotor’s staff also warrants termination of the affiliate agreement and a forfeiture of all standings, prizes, and commissions.
h)	for any other reason that is deemed by us to be unsuitable or damaging to the Promoter in any way.
i)	uses any of our brands in the root of a URL link. This means you cannot use, for example, “corefreedom” in your website domain before the (dot), like this: corefreedom.YourSite.com or YourSite.corefreedom.com. However, this would be permitted: www.YourSite.com/corefreedom.
j)	So, to be clear, you cannot have any of our brand names, or any misspelling or alternative use/spelling of our brand names, before the (dot) in .com, .org, etc. Other examples:
k)	Not Permitted: www.corefreedomreview.com, 
Permitted: www.YourSite.com/corefreedomreview. 
l)	Not Permitted: www.corefreedomproducts.YourSite.com, 
Permitted: www.YourSite.com/corefreedom-products.
4.4 Promoter reserves the right to disqualify Affiliates from our Affiliate program, cancel pending commissions based on inappropriate behavior or marketing by the Affiliate, and to amend this Promotion or Agreement at any time without notification to Affiliate.

5.	SPAM AND UNSOLICITED EMAIL

5.1 Affiliate agrees not to send any unsolicited email using his or her affiliate link to any party. Promoter exercise a zero tolerance toward any Affiliate who spams any party or individual. If it becomes evident that Affiliate is spamming by “bots” or by automated or anonymous social media postings, they will be immediately removed from the Core Freedom™ Affiliate Program. Any commissions or pending commissions will be immediately canceled and/or forfeited. 

5.2 Spam is defined as emailing to anyone who has not requested information via email or any website, and also includes “spamming search engines” or social media with links. 

5.3 Affiliate agrees to abide by all Federal Trade Commission Guidelines and the U.S. Federal Can-SPAM Act.

6.	EARNING DISCLAIMER

6.1 We’ve taken every effort to ensure we accurately represent our Promotion and it’s potential to help you earn commissions, as described below. However, there is no guarantee that you will get any results or earn any money whatsoever during this Promotion, and we do not purport this as a “get rich scheme.” Nothing on our Sites or in this Promotion is a promise or guarantee of earnings.

6.2 Your level of success in attaining results is dependent upon a number of factors including your skill, knowledge, ability, dedication, business savvy, network, list, and financial situation. Because these factors differ according to individuals, we cannot guarantee your success, income level, or ability to earn revenue. You alone are responsible for your actions and results in life and business.

6.3 Any forward-looking statements outlined on our sites or in our Promotions are simply our expectations or forecasts for future potential, and thus are not guarantees or promises for actual performance. These statements are simply our opinion. As stipulated by FTC law, we make no guarantees that you will achieve any results from our ideas or Promotion, and we offer no professional legal or financial advice.

7.	COMMISSIONS & REFERRAL FEES

7.1 When someone orders from our website(s) using your affiliate link, your personal affiliate ID is credited with a commission fee ranging from 10-40%. The exact commission is depending on product and tier level achieved within our program.

7.2 When a new affiliate registers as an affiliate using your specific affiliate link, your account is considered the Sponsoring affiliate. You do not earn a referral fee for new affiliate registrations resulting from your effort, but you do receive a commission from their sales efforts. This is called a tiered affiliate program.

7.3 The current commission fee amount from your own sales efforts and your sponsored affiliates can be found inside your affiliate dashboard. The base commission rate for all new affiliate is 10%. 

7.4 Commissions are not paid for, and will not include, a single sale to the Affiliate themselves. This means that the Affiliate is not permitted to purchase the Product for their own use through their link and receive a commission on that sale. All Affiliate commissions are individually approved by Core Freedom™ once every week. Any duplicate commission, fraudulent commissions or commissions for individual sales for the Affiliate will be declined.

7.5 The first payment can take up to 60 days since Core Freedom™ offers a 30-day satisfaction guarantee for all products and services purchased. If a customer cancels a sale or we refund their purchase for any reason, any paid commission will be deducted from the amount owed to the Affiliate. 

7.6 Affiliate commissions will not be paid based on any sales or amounts that are attributed to spam, credit card fraud, or returned Product. If necessary, to perform due diligence for a specific order, Promoter reserves the right to change the dates of the commission payout.

7.7 U.S. Affiliates must complete a W-9 tax form and include his or her social security or tax ID number, and send a copy via email to the Promoter before receiving any commission payments.

7.8 Promoter is not responsible for Affiliate using or maintaining their affiliate links. Only sales tracked through the Core Freedom™ affiliate software system will count towards the Affiliates commissions. For example, Affiliate will not receive a commission if they tell their friend to visit the corefreedom.com website and later discover from their friend that they indeed purchased a product. We can only track referred sales from the Affiliate when he or she uses their personalized affiliate link, which can be obtained from within their affiliate dashboard.

7.9 Every effort is made to maintain proper records and to maintain a stable software program to keep track of all sales referred from the Affiliate. However, Core Freedom™ is not responsible, and under any circumstances can be held liable, for any technical difficulties, outside events, actions by other affiliates, or other uncontrollable events that may disrupt or interfere with Promoter’s ability to do track sales or pay commissions. Under no circumstances will Promoter be held liable for any indirect, incidental, special or consequential damages, or any loss of revenue or profits, that result from Affiliate’s participation in this Promotion.

8.	COMMISSION SCHEDULE

8.1 Commissions are paid on the 1st of every month by payment processor, a minimum of 30 days and a maximum of 60 days after the sale is completed.  

8.2 In order to qualify for a commission payout a $100 earned commission must be in the affiliate’s account. This is the minimum amount that you must earn before you will be paid commissions. Any affiliate sign-on bonuses offered are not considered earned commissions. In any commission period, your commissions must exceed this amount before we make a payout for that pay period. Commissions below this minimum amount will be held until such time as the commission equals or exceeds this amount.

8.3 Commissions are not paid for any sales for which payment has not been received, or for any transaction that has been rejected for any reason.

8.4 We do not pay interest to affiliates for accrued but not yet delivered commission payments.

8.5 Should any transaction incur a charge-back, or if an online transaction is not completed in every way, no commission payment is due to the affiliate. If a commission has already been paid, then it will be deducted from an active affiliate’s future commissions.

8.6 All commissions are paid in US Dollars by PayPal or Stripe. Affiliate must submit their payment email address when filling out their affiliate application. Without this email address we are unable to make payments.

8.7 Each affiliate is responsible for selecting their preferred payment processor, through which to receive their commissions/referral fees, from the payment processors supported by the Core Freedom™ program. If you elect a payment processor through which to receive your commissions and you later terminate the account or the account becomes unavailable for any reason, and you do not update your records, Core Freedom™ is not responsible for your not receiving the money. Each affiliate is responsible for always maintaining the payment processor through which they receive their commissions/referral fees or by selecting an alternate method of payment supported by the Program. This election is entirely made by the affiliate and Core Freedom™ assumes no responsibility for non-receipt of payments made according to the payment processor elected by the affiliate, or the affiliate’s lack of ability to then conform to the payment processors or processes supported by Core Freedom™. Core Freedom™ assumes no responsibility for an affiliate not electing a payment processor. If an affiliate fails to elect a payment processor, funds remain in his or her affiliate dashboard until affiliate provides Core Freedom™ with a valid form of payment.

9.	PAYMENT PROCESSOR FEES

All commissions are calculated based on the net transaction. In other words, all payment processor fees are first deducted from the sums collected from the customer. Then, all payment processor fees are deducted. The remaining amount is a commissionable sale. The commission rate listed on the website is then applied to determine the amount due the affiliate. Any sums paid for payment processor fees are not commissionable. Core Freedom™ may also charge a per transaction fee for every transaction processed. In the event that a per transaction fee is applied, the amount of the fee can be seen within the affiliate dashboard. Any such fee is not commissionable and is also deducted from the sums paid by the customer, prior to the calculation of any commission.

10.	INCOME TAX LIABILITIES

Each affiliate acts as an independent contractor and as such is responsible for any or all United States, state, or foreign income taxes and any other tax liabilities that affect or concern the sales of the products or services, in your state or location. If you are not a citizen or legal resident of the United States, the Core Freedom™ may have to withhold the appropriate U.S. income tax applicable to foreign nationals, prior to your receipt of any commissions. Core Freedom™ does so pursuant to the United States Internal Revenue Service laws (also known as the United States Tax Code) and other applicable laws. It is the affiliate’s sole responsibility, and not the responsibility of Core Freedom™, to take any steps necessary to recover these sums under the Tax Code and other applicable laws.

11.	LINKS

11.1 Core Freedom™ will provide Affiliate with Links for any promotional purposes as well as any related banners, graphics, or text ads necessary to promote and offer the Product to the Affiliate’s customers via the Affiliate’s Sites or emails. Affiliate may ONLY utilize their unique link provided by Core Freedom™ on the Affiliate’s own websites or emails. Affiliate may NOT post their Link on other websites that are not owned or maintained by the Affiliate or the Affiliate’s brand, with the exception of ads or to their social media connections.

14. TRAINING AND SUPPORT

We may make available to you, without charge, various webinars and other resources made available as part of our Affiliate Program. We encourage you to read through those documents, watch the videos and participate in any webinars we may provide for you.

15. TRADEMARK AND RESTRICTIONS

Affiliate may not use any copyright, trademark, service mark, or general branding of the Promoter without full disclosure and permission of Core Freedom™.
Affiliate may not: 

a)	read, intercept, record, redirect, interpret, or fill in the contents of any electronic form or other materials submitted to Promoter by any person or entity; 

b)	take any action that could reasonably cause any customer confusion as to Affiliate’s relationship with Core Freedom™, or as to the site on which any functions or transactions (e.g., search, order, browse, and so on) are occurring; 

c)	frame the Affiliate’s website to look like the Promoter’s website or to utilize the Promoter’s branding in any way that would confuse customers or the general public as to who is hosting or promoting such a website; 

d)	seek to purchase or register any keywords, search terms or other identifiers related to the trademarks of Core Freedom™ or the trade or service marks or names of Core Freedom™’s primary competitors, including misspellings or variations thereof for use in any search engine, portal, sponsored advertising service or other search or referral service unless otherwise agreed to by Core Freedom™; 

e)	seek to purchase or register any domains or other identifiers that include variations on the trade or service marks or names of Core Freedom™ intended to approximate misspellings or typographical mistakes of same, or which otherwise would constitute typo or domain squatting, including variations thereof for use in any search engine, portal, sponsored advertising service or other search or referral service unless otherwise agreed to by Core Freedom™; or 

f)	spam automated or anonymous links to social media pages or search engines.
Promoter may cancel the Affiliate’s participation in this Program, withhold or cancel commissions, or take any other action at its sole discretion should Affiliate conduct any of the behavior above or fail to operate with integrity or within the guidelines of the FTC.

16. PROPRIETARY RIGHTS

16.1 No license to any software, course or products is granted by this Agreement. The Core Freedom™ Products are protected by intellectual property laws. The Core Freedom™ Products belong to and are the property of us or our licensors (if any). We retain all ownership rights in the Core Freedom™ Products. You agree not to copy, rent, lease, sell, distribute, or create derivative works based on the Core Freedom™ Content, or the Core Freedom™ Products in whole or in part, by any means, except as expressly authorized in writing by us. Core Freedom™, the Core Freedom™ logos, and other marks that we use from time to time are our trademarks and you may not use them without our prior written permission, except as otherwise set forth in this Agreement.

16.2. We encourage all customers, affiliates and partners to comment and review on Core Freedom™ Products, provide suggestions for improving them, and vote on suggestions they like. You agree that all such comments, suggestions and reviews will be non-confidential and that we own all rights to use and incorporate them into the Core Freedom™ Products, without payment to you.

17. AFFILIATE REPRESENTATIONS AND WARRANTIES

You represent and warrant that: 

a)	you have all sufficient rights and permissions to participate in the Affiliate Program and to provision Core Freedom™ with Affiliate Lead’s for our use in sales and marketing efforts or as otherwise set forth in this Agreement, 

b)	your participation in this Affiliate Program will not conflict with any of your existing agreements or arrangements; 
You further represent and warrant that: 

a)	you will ensure that you are compliant with any trade or regulatory requirements that may apply to your participation in the Affiliate Program (for example, by clearly stating you are a Core Freedom™ Affiliate on any website(s) you own where you make an Affiliate Link available); 

b)	you will accurately provide in the Affiliate dashboard all websites and domains you own where you intend to use Affiliate Links to generate Affiliate Leads; 

c)	you will not purchase ads that direct to your site(s) or through an Affiliate Link that could be considered as competing with Core Freedom™’s own advertising, including, but not limited to, our branded keywords; 

d)	you will not participate in cookie stuffing or pop-ups, false or misleading links are strictly prohibited; (v) you will not attempt to mask the referring URL information; 

e)	you will not use your own Affiliate Link to purchase Core Freedom™ products for yourself.

17. CORE FREEDOM RIGHTS AND OBLIGATIONS

17.1 We have the right to monitor your site or marketing efforts to determine if you are following the terms and conditions of this Agreement. We may notify you of any changes to your site that we feel should be made, or to make sure that your links to our web site are appropriate. If you do not make the changes to your site that we feel are necessary, we reserve the right to terminate your participation in the CoreFreedom™ Affiliate Program.

17.2 CoreFreedom™ reserves the right to terminate this Agreement and your participation in the CoreFreedom™ Affiliate Program immediately and without notice should you commit fraud in your use of the CoreFreedom™ Affiliate Program or should you abuse this program in any way. If such fraud or abuse is detected, CoreFreedom™ shall not be liable to you for any commissions for such fraudulent sales.

17.3 This Agreement will begin upon our acceptance of your Affiliate application, and will continue unless terminated hereunder.

18. TERM AND TERMINATION

18.1 Term. This Agreement will apply for as long as you participate in the Affiliate Program, until terminated.

18.2 Termination Without Cause.  Both you and we may terminate this Agreement on seven (7) days written notice to the other party.

18.3 Termination for Agreement Changes. If we update or replace the terms of this Agreement, you may terminate this Agreement with five (5) days written notice to us, provided that you send us written notice within seven (7) days after we send you notice of the change.

18.4 Termination for Cause.  We may terminate this Agreement: 

a.	upon thirty (30) days’ notice to you of a material breach if such breach remains uncured at the expiration of such period, 

b.	upon fifteen (15) days’ notice to you of non-payment of any amount due to us if such amount remains unpaid at the expiration of such period, 

c.	immediately, if you become the subject of a petition in bankruptcy or any other proceeding relating to insolvency, receivership, liquidation or assignment for the benefit of creditors, 

d.	immediately, if you breach the terms of your agreement, including if you default on your payment obligations to us, or 

e.	immediately, if we determine that you are acting, or have acted, in a way that has or may negatively reflect on or affect us, our prospects, or our customers.

18.5 Effects of Expiration/Termination.  Expiration of this Agreement, and termination of this Agreement: (i) without cause by us,(ii) by you with cause, (iii) by you according to the ‘Termination for Agreement Changes’ section, shall not affect our obligation to pay you a Commission, so long as the related payment by the Customer Transaction is recognized by us within thirty (30) days after the date of such termination or expiration and provided that in no event shall you be entitled to payment of Commission under this Agreement. We will not pay you fees on Customer Transactions recognized by us after thirty (30) days after the date of such termination or expiration set out above.  Provided however, in the event of termination without cause by you, or for cause by us, our obligation to pay and your right to receive any Commission will terminate upon the date of such termination, regardless of whether you would have otherwise been eligible to receive Commission prior to the date of termination. Except as expressly set forth in this section, you are not eligible to receive a Commission payment after expiration or termination of this Agreement. Upon termination or expiration, you will discontinue all use of and delete the Affiliate Tool that we make available to you for your participation in the Affiliate Program. Upon termination or expiration, an Affiliate Lead is not considered valid.

18.6 Inactivity. An affiliate is considered inactive if there has not been any sales activity within a 12-month time frame. In this case we may contact the affiliate to see if we can be of any assistance in helping him or her promote Core Freedom™ products. We will then evaluate if we should terminate or continue our agreement with the affiliate.

18.7 Discontinuance of Material. Upon termination or expiration, you will immediately discontinue all use of our trademark and references to this Affiliate Program from your website(s) and other collateral. 

19. MODIFICATION

We may modify any of the terms and conditions in this Agreement at any time at our sole discretion. In such event, you will be notified by email. Modifications may include, but are not limited to, changes in the payment procedures and CoreFreedom™'s Affiliate Program rules. If any modification is unacceptable to you, your only option is to end this Agreement. Your continued participation in CoreFreedom™'s Affiliate Program following the posting of the change notice or new Agreement on our site will indicate your agreement to the changes. 

20. AFFILIATE DASHBOARD

When you apply you are asked to create a password so that you may enter Core Freedom™’s secure affiliate account interface. Once logged into your affiliate dashboard, you have access to all of your sales and marketing material, your sales statistics, your site visitors and you can see immediately when someone has clicked on your affiliate link or when you have made a sale. You also have access to reports that describe the calculation of the commissions due to you.

21. PROMOTION RESTRICTIONS

21.1 You are free to promote your affiliate link on your own web sites, but naturally any promotion that mentions CoreFreedom™ could be perceived by the public or the press as a joint effort. You should know that certain forms of advertising are always prohibited by CoreFreedom™. For example, advertising commonly referred to as "spamming" is unacceptable to us and could cause damage to our name. Other generally prohibited forms of advertising include the use of unsolicited commercial email (UCE), postings to non-commercial newsgroups and cross-posting to multiple newsgroups at once. In addition, you may not advertise in any way that effectively conceals or misrepresents your identity, your domain name, or your return email address. You may use mailings to customers to promote CoreFreedom™ so long as the recipient is already a customer or subscriber of your services or web site, and recipients have the option to remove themselves from future mailings. Also, you may post to newsgroups to promote CoreFreedom™ so long as the news group specifically welcomes commercial messages. At all times, you must clearly represent yourself and your web sites as independent from CoreFreedom™. If it comes to our attention that you are spamming, we will consider that cause for immediate termination of this Agreement and your participation in the CoreFreedom™ Affiliate Program. Any pending balances owed to you will not be paid if your account is terminated due to such unacceptable advertising or solicitation.

22. GRANT OF LICENSES

22.1 We grant to you a non-exclusive, non-transferable, revocable right to (i) access our site through HTML links solely in accordance with the terms of this Agreement and (ii) solely in connection with such links, to use our logos, trade names, trademarks, and similar identifying material (collectively, the "Licensed Materials") that we provide to you or authorize for such purpose. You are only entitled to use the Licensed Materials to the extent that you are a member in good standing of CoreFreedom™'s Affiliate Program. You agree that all uses of the Licensed Materials will be on behalf of CoreFreedom™ and the good will associated therewith will inure to the sole benefit of CoreFreedom™.

22.2 Each party agrees not to use the other's proprietary materials in any manner that is disparaging, misleading, obscene or that otherwise portrays the party in a negative light. Each party reserves all of its respective rights in the proprietary materials covered by this license. Other than the license granted in this Agreement, each party retains all right, title, and interest to its respective rights and no right, title, or interest is transferred to the other. 

23. DISCLAIMER

COREFREEDOM™ MAKES NO EXPRESS OR IMPLIED REPRESENTATIONS OR WARRANTIES REGARDING COREFREEDOM™ SERVICE AND WEB SITE OR THE PRODUCTS OR SERVICES PROVIDED THEREIN, ANY IMPLIED WARRANTIES OF COREFREEDOM™ ABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT ARE EXPRESSLY DISCLAIMED AND EXCLUDED. IN ADDITION, WE MAKE NO REPRESENTATION THAT THE OPERATION OF OUR SITE WILL BE UNINTERRUPTED OR ERROR FREE, AND WE WILL NOT BE LIABLE FOR THE CONSEQUENCES OF ANY INTERRUPTIONS OR ERRORS. 

24. REPRESENTATIONS AND WARRANTIES

You represent and warrant that:

24.1 This Agreement has been duly and validly executed and delivered by you and constitutes your legal, valid, and binding obligation, enforceable against you in accordance with its terms;

24.2 You have the full right, power, and authority to enter into and be bound by the terms and conditions of this Agreement and to perform your obligations under this Agreement, without the approval or consent of any other party;

24.3 You have sufficient right, title, and interest in and to the rights granted to us in this Agreement. 

25. LIMITATIONS OF LIABILITY

WE WILL NOT BE LIABLE TO YOU WITH RESPECT TO ANY SUBJECT MATTER OF THIS AGREEMENT UNDER ANY CONTRACT, NEGLIGENCE, TORT, STRICT LIABILITY OR OTHER LEGAL OR EQUITABLE THEORY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES (INCLUDING, WITHOUT LIMITATION, LOSS OF REVENUE OR GOODWILL OR ANTICIPATED PROFITS OR LOST BUSINESS), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FURTHER, NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED IN THIS AGREEMENT, IN NO EVENT SHALL COREFREEDOM™'S CUMULATIVE LIABILITY TO YOU ARISING OUT OF OR RELATED TO THIS AGREEMENT, WHETHER BASED IN CONTRACT, NEGLIGENCE, STRICT LIABILITY, TORT OR OTHER LEGAL OR EQUITABLE THEORY, EXCEED THE TOTAL COMMISSION FEES PAID TO YOU UNDER THIS AGREEMENT. 

26. INDEMNIFICATION

You hereby agree to indemnify and hold harmless CoreFreedom™, and its subsidiaries and affiliates, and their directors, officers, employees, agents, shareholders, partners, members, and other owners, against any and all claims, actions, demands, liabilities, losses, damages, judgments, settlements, costs, and expenses (including reasonable attorneys' fees) (any or all of the foregoing hereinafter referred to as "Losses") insofar as such Losses (or actions in respect thereof) arise out of or are based on (i) any claim that our use of the affiliate trademarks infringes on any trademark, trade name, service mark, copyright, license, intellectual property, or other proprietary right of any third party, (ii) any misrepresentation of a representation or warranty or breach of a covenant and agreement made by you herein, or (iii) any claim related to your site, including, without limitation, content therein not attributable to us. 

27. MISCELLANEOUS

27.1 You agree that you are an independent contractor, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and CoreFreedom™. You have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your site or anywhere else, that reasonably would contradict anything in this Section.

27.2 Neither party may assign its rights or obligations under this Agreement to any party, except to a party who obtains all or substantially all of the business or assets of a third party.

27.3 This Agreement shall be governed by and interpreted in accordance with the laws of the State of Delaware without regard to the conflicts of laws and principles thereof.

27.4 You may not amend or waive any provision of this Agreement unless in writing and signed by both parties.

27.5 This Agreement represents the entire agreement between us and you, and shall supersede all prior agreements and communications of the parties, oral or written.

27.6 The headings and titles contained in this Agreement are included for convenience only, and shall not limit or otherwise affect the terms of this Agreement.

27.7 If any provision of this Agreement is held to be invalid or unenforceable, that provision shall be eliminated or limited to the minimum extent necessary such that the intent of the 
parties is effectuated, and the remainder of this agreement shall have full force and effect. 

GENERAL

Assignment. You will not assign or transfer this Agreement, including any assignment or transfer by reason of merger, reorganization, sale of all or substantially all of its assets, change of control or operation of law, without our prior written consent. We may assign this Agreement to any affiliate or in the event of merger, reorganization, sale of all or substantially all of our assets, change of control or operation of law.

No Third-Party Beneficiaries.  Nothing in this Agreement, express or implied, is intended to or shall confer upon any person or entity (other than the parties hereto) any right, benefit or remedy of any nature whatsoever under or by reason of this Agreement.
Program Policies Page. We may change the Program Policies from time to time. Your participation in the Affiliate Program is subject to the Program Policies, which are incorporated herein by reference

No Licenses. We grant to you only the rights and licenses expressly stated in this Agreement, and you receive no other rights or licenses with respect to us, the Core Freedom™ Products, our trademarks, or any other property or right of ours.

Sales by Core Freedom™. This Agreement shall in no way limit our right to sell the Core Freedom™ Products, directly or indirectly, to any current or prospective customers.

NO WARRANTIES

WE MAKE NO WARRANTIES TO YOU OF ANY KIND, EXPRESSED OR IMPLIED, WITH RESPECT TO THE SERVICE CORE FREEDOM™, ITS SUBCONTRACTORS AND AFFILIATES PROVIDE YOU. WE EXPRESSLY DISCLAIM ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS OF THIS SERVICE FOR A PARTICULAR PURPOSE. 

We shall not be liable for any damages suffered by you, whether indirect, special, incidental, exemplary, or consequential; including, but not limited to, loss of data or service interruptions, regardless of cause or fault. We are not responsible for your lost profits or for your loss of data or information. If notwithstanding this clause we are held liable to you.
